Banking and Finance

Capital creates opportunities. Whether acquiring an asset, expanding a business, financing a project or pursuing a new investment, securing funding on appropriate terms can be critical to commercial success. Equally important is the legal framework through which that capital is provided, secured and ultimately repaid or realised.
Much of our work concerns the financing of valuable assets and the legal structures that make such transactions possible. We advise borrowers, lenders, investors, financial institutions and businesses on acquisitions, financing and refinancing across a broad range of industries. Whether the underlying asset is a vessel, an aircraft, real estate, machinery, technology or another commercial investment, we consider its ownership, intended use, financing requirements and the security arrangements necessary to protect the parties involved.
Our work encompasses corporate and commercial lending, secured and unsecured financing, asset-backed lending, syndicated loans, acquisition finance, project finance, real estate finance and structured finance transactions. We negotiate, prepare and review loan and facility agreements, mortgages, pledges, assignments, guarantees, intercreditor arrangements and other security instruments, with particular attention to the creation, perfection, priority and enforceability of security interests, the allocation of risk and the protection of contractual rights.
Financing arrangements frequently involve more than the provision of funds. Ownership structures, corporate arrangements, leasing, contractual restrictions and the commercial use of an asset can all influence the structure and viability of a transaction. We assist clients in bringing these elements together, particularly where financing involves multiple assets, counterparties or jurisdictions, or where tailored structures are required to achieve specific commercial objectives.
Beyond traditional lending, we advise on alternative sources of capital and investment, including private equity, venture capital, equity investments, shareholder funding, joint ventures and convertible instruments. We assist businesses, entrepreneurs and investors with capital raising, negotiating investment terms, structuring equity participation and establishing governance arrangements and investor protections.
Our experience also extends to international trade and commercial finance, including letters of credit, documentary payment arrangements, receivables financing, guarantees and other forms of credit support. We advise on the contractual and security arrangements underpinning these transactions, particularly where goods, assets and payments move across jurisdictions.
The financial sector operates within a complex and evolving regulatory environment. We advise financial institutions and businesses on applicable banking and financial regulations, licensing requirements, regulatory compliance, know-your-customer (KYC) obligations and related matters. Where transactions involve international elements, we also consider sanctions, cross-border regulatory requirements and the interaction between different legal systems.
We assist creditors and debtors when financial arrangements require amendment, refinancing or restructuring, advising on covenant compliance, waivers, defaults, debt recovery and the enforcement of security. Our work also extends to financial disputes, insolvency proceedings and corporate restructurings, where the preservation of value and the protection of creditor and debtor interests are often paramount.
Effective financing requires a balance between access to capital, commercial flexibility and legal protection. We work to establish arrangements that provide certainty, manage risk and support the transactions, investments and businesses they are intended to finance.
